1. Legal Agreement and Applicability

These Terms and Conditions ("Agreement") govern the use of the B2B travel services offered by B2BTrav.com, a digital property wholly owned and operated by ATW STAYS (OPC) Private Limited, a company incorporated under the Companies Act, 2013 and having its principal place of business at K-49, Fateh Nagar, New Delhi – 110018, India.

This Agreement constitutes a binding contract between the registered business user ("Agent", "You", or "Your") and ATW STAYS (OPC) Private Limited ("We", "Us", or "Our"), and applies to all transactions, platform access, wallet funding, booking operations, and service usage across the B2BTrav ecosystem (web portal or API).

2. Scope of Services

B2BTrav operates as a digital B2B intermediary platform, facilitating prepaid bookings for:

• Fixed Departure (FD) flight inventory, and
• Global activity and excursion products,

procured in advance through third-party arrangements. The platform does not operate as the end service provider or travel operator.

All services made available on the platform are expressly intended for use by registered businesses only, not individual consumers, and are to be used solely for onward sale, resale, or internal client servicing by the Agent.

3. Fixed Departure Bookings – Irrevocable Conditions

All Fixed Departure (FD) seats available for sale on the platform are pre-purchased by ATW STAYS (OPC) Private Limited. Due to their discounted and locked-in nature, the following conditions apply:

• FD bookings are strictly non-refundable,
• Non-changeable (date, name, or route), and
• Non-transferable to another passenger or entity.

These terms are absolute and override any contrary policy of the underlying air carrier or external supplier.

4. Booking Classification and Confirmation

• Instant bookings generate real-time confirmation and PNR or booking ID at the point of wallet deduction.
• Offline bookings are subject to third-party operational clearance and may require up to 30–60 minutes to confirm.

Should a booking remain unconfirmed due to supplier unavailability, the entire amount shall be recredited to the Agent's wallet without penalty or deduction.

5. Wallet Funding & Reconciliation

All Agents are required to maintain a sufficient pre-funded wallet balance to transact on B2BTrav. The following methods are authorized for wallet recharge:

Post-transaction confirmation: Email payment proof to wallet@b2btrav.com

Processing time: 15–30 minutes during business hours

Refunds for unutilized wallet balances, if requested in writing, shall be processed within 15–20 working days, subject to account audit and compliance checks.

6. Cancellations, Refunds & Administrative Charges

All cancellation requests are governed by the commercial terms of the service provider associated with each booking.

Where a booking is deemed refundable:

• A standard administrative fee of Rs.350 per booking shall be deducted prior to wallet re-credit.
• Refunds are subject to actual realization of funds from upstream suppliers and shall be processed only upon such settlement.

No refund shall be applicable in circumstances including, but not limited to:

• Passenger no-shows,
• Inaccurate booking data submitted by the Agent,
• Missed departures or check-ins,
• Delays or denial of service arising from documentation or regulatory non-compliance.

7. Intellectual Property & Platform Integrity

All proprietary materials, source code, software architecture, visual designs, branding elements, and technical integrations of B2BTrav.com are the exclusive intellectual property of ATW STAYS (OPC) Private Limited and are protected under applicable copyright, trademark, and IT laws of India.

Unauthorized reproduction, system replication, reverse engineering, data scraping, or use of automated bots/tools to interact with the platform is strictly prohibited and may result in civil and/or criminal proceedings under the Information Technology Act, 2000.

8. Data Protection & Privacy Compliance

B2BTrav handles user and transactional data in compliance with applicable Indian data protection laws and best industry practices. Data may be accessed or disclosed in the following scenarios:

• For service fulfilment through authorized backend systems and partners,
• As required under law or by government/regulatory authorities,
• For fraud prevention, audit, or dispute resolution purposes.

All payment data is processed by certified third-party payment gateways. B2BTrav does not retain or store card or net banking credentials on its servers. Use of the platform constitutes acceptance of our Privacy Policy, which forms an integral part of this Agreement.

9. Taxation & Invoicing

All bookings are subject to prevailing Indian tax laws including GST and, where applicable, TCS (Tax Collected at Source).

• TCS Certificates will be issued within 45 days after each financial quarter.
• GST-compliant invoices will be provided upon request post-travel completion. The Agent shall ensure all billing and KYC details are up-to-date for compliance with tax and accounting laws.

10. Legal Indemnity & Risk Allocation

By using the platform, the Agent agrees to indemnify and hold harmless ATW STAYS (OPC) Private Limited, its officers, employees, and affiliates from and against any claims, liabilities, or losses arising out of:

• Misuse of platform access,
• Breach of these Terms,
• Violation of laws or third-party rights,
• Unauthorized transactions or fraud committed using the Agent's login credentials.

The platform operator shall not be liable for any consequential, indirect, or special damages arising from the use of this service.

11. Force Majeure

ATW STAYS (OPC) Private Limited shall not be held liable for failure or delay in performance of any obligation arising under these Terms where such failure results from events beyond its reasonable control, including but not limited to:

• Natural disasters,
• Travel bans,
• Acts of terrorism,
• System/network failures,
• Governmental or judicial directives.

12. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Republic of India. All disputes arising out of or in connection with this Agreement shall:

• Be subject to the exclusive jurisdiction of the Courts at New Delhi, and
• Where mutually agreed, be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed in accordance with the said Act. The language of arbitration shall be English.

13. Amendments and Modifications

ATW STAYS (OPC) Private Limited reserves the unilateral right to modify, update, or amend these Terms at any time. Such changes shall become binding upon publication on the website. It is the Agent's responsibility to regularly review the latest version of these Terms.

Continued use of the platform following the publication of changes shall constitute deemed acceptance.
